TERMS AND CONDITIONS OF SALE - PARTS HUB LLC

1. Scope and Acceptance

These Terms and Conditions (“Terms”) govern all quotations, orders, and sales made by Parts Hub LLC, a Wyoming limited liability company (“Seller”).

By placing an order, the buyer (“Client”) agrees to these Terms in full. Any conflicting or additional terms from the Client shall be null and void unless expressly accepted in writing by Parts Hub LLC.

2. Quotations and Orders

All quotations are valid for thirty (30) days unless otherwise stated.

Orders become binding only after written confirmation by Parts Hub LLC.

The Seller reserves the right to cancel or modify an order prior to shipment in case of supplier delays, export restrictions, or unforeseen circumstances.

3. Prices and Payment

All prices are quoted in U.S. Dollars (USD) unless otherwise agreed in writing.

Invoices are payable within twenty-one (21) calendar days from the invoice date.

In case of late payment, Parts Hub LLC may charge an annual interest of ten percent (10%) and suspend pending deliveries until full payment is received.

Ownership of goods remains with Parts Hub LLC until full payment has been made (retention of title).

4. Taxes, Customs, and Withholding

All taxes, import duties, and customs fees in the buyer’s country are the Client’s responsibility.

Any withholding taxes required by local law must be paid by the Client to its tax authorities, and shall not reduce the payment due to Parts Hub LLC.

Parts Hub LLC is not responsible for costs or taxes arising from the Client’s jurisdiction.

5. Delivery and Risk Transfer

Unless otherwise agreed, delivery terms follow Incoterms® 2020.

Risk of loss or damage passes to the Client when goods are handed to the carrier.

Parts Hub LLC will make reasonable efforts to meet agreed delivery times but shall not be held liable for delays caused by factors beyond its control, including customs clearance delays in Turkey or elsewhere.

6. Inspection, Claims, and Returns

The Client must inspect the goods immediately upon receipt.

Any claim regarding missing, defective, or non-conforming products must be made in writing within eight (8) days after delivery.

Unauthorized returns will not be accepted. Returns must be pre-approved by Parts Hub LLC in writing.

7. Limitation of Liability

Parts Hub LLC’s liability is limited to the value of the goods or services in question.

Under no circumstances shall Parts Hub LLC be liable for indirect, incidental, or consequential damages, including lost profits or production downtime.

Nothing in these Terms excludes liability for gross negligence or willful misconduct where required by applicable law.

8. Force Majeure

Parts Hub LLC shall not be held liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to acts of God, war, export restrictions, natural disasters, strikes, or transport disruptions.

9. Governing Law and Jurisdiction

• For Clients located outside the United States (including Turkey):
  These Terms shall be governed by the laws of the United States and the State of Wyoming, without regard to conflict of law principles.
  Any disputes shall be settled exclusively in the courts of Wyoming, USA.
• For Clients located within Turkey:
  These Terms shall be interpreted consistently with Turkish commercial practice, but jurisdiction shall remain with Wyoming courts, unless both parties agree otherwise in writing.

10. Entire Agreement

These Terms constitute the entire agreement between Parts Hub LLC and the Client, superseding all prior communications or documents, whether written or oral.

Any amendment must be made in writing and signed by both parties.
